Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Truxivo LLC ("Truxivo," "Company," "we," "us," or "our") governing your access to and use of the Truxivo platform, website, applications, and related services (collectively, the "Platform").

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.

Nature of Services

The Platform is a data aggregation, standardization, and analytics tool that compiles, processes, and presents information derived from publicly available regulatory sources (including FMCSA data), third-party data providers, user-submitted information, and proprietary analytical methodologies.

The Platform generates scores, summaries, indicators, and analytical outputs ("Trust Scores" or "Outputs") intended solely to provide a structured representation of available data.

No Professional Services; Informational Purpose Only

Truxivo is not a licensed freight broker, motor carrier, insurer, compliance advisor, safety authority, or legal advisor. Nothing on the Platform constitutes legal, compliance, insurance, or operational advice of any kind.

All Outputs are derived from available data inputs, generated through automated or algorithmic processes, and provided strictly for informational purposes only.

You expressly acknowledge that you will not rely solely on the Platform or any Output in making business, operational, or financial decisions. All decisions — including load tendering, carrier selection, or business engagement — are made solely at your own risk.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

TRUXIVO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF DATA.

TRUXIVO DOES NOT WARRANT THAT ANY OUTPUT IS ACCURATE OR CURRENT, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

Data Sources; No Guarantee of Accuracy

The Platform relies on data obtained from third parties and public sources. Accordingly, data may be incomplete, inaccurate, outdated, or subject to change. Truxivo does not independently verify all data inputs, and Outputs may not reflect real-time or actual operational conditions.

Truxivo disclaims all responsibility for errors, omissions, or inaccuracies in any data or Output.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRUXIVO AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR REPUTATIONAL HARM — ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

IN ALL CASES, TRUXIVO'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT PAID BY YOU TO TRUXIVO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

User Representations and Warranties

You represent and warrant that you have the legal authority to enter into these Terms, that you will comply with all applicable laws and regulations, and that you will not misuse the Platform for unlawful, harmful, or deceptive purposes.

Prohibited Conduct

You agree not to reverse engineer, scrape, or extract Platform data at scale; use the Platform to defame, harass, or unfairly target any entity; manipulate or attempt to manipulate data inputs or Outputs; or resell, sublicense, or commercially exploit Platform data without written authorization from Truxivo.

User Content and Carrier Profiles

Where you submit or manage information on the Platform, you retain responsibility for its accuracy and legality. You grant Truxivo a perpetual, worldwide, royalty-free license to use, display, analyze, and distribute such data within the Platform. Truxivo reserves the right to modify, remove, or refuse content at its sole discretion.

Indemnification

You agree to defend, indemnify, and hold harmless Truxivo and its affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the Platform, your reliance on Outputs, your violation of these Terms, or any data you submit.

Dispute Resolution; Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL. ALL CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.

Termination

Truxivo reserves the right to suspend or terminate your access to the Platform at any time, for any reason, with or without notice.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes not resolved through arbitration shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.

Entire Agreement

These Terms constitute the entire agreement between you and Truxivo and supersede all prior agreements, representations, or understandings relating to the Platform.
